WFGA Statutes 2018


Statutes:

1) Name and head office

The name is World Footballgolf Association, hereafter referred to as WFGA.

It is a non-profit association. The registered Head Office is located in Sweden, it may be transferred to any other location in Europe by decision of the Board. The Language in force is English.

2) Object/mission

To connect people through Footballgolf, an exciting combination of Football & Golf.

The WFGA is a non-profit organisation aiming at promoting, developing and organizing Footballgolf worldwide.

3) Members

  1. Members of the WFGA are limited to National Footballgolf federations or associations.
  2. The Board shall examine applications for membership addressed to the General Secretary and shall submit them for the General Assembly for decision.
  3. Resignation of a member must be addressed to the President by registered letter.

4) Rules

  1. WFGA set the standards for the National federations and associations for organizing tournaments for footballgolf players.
  2. In WFGA competitions the Rules of WFGA apply.

5) Structure

The Association is constituted by:
  1. The General Assembly
  2. The Board.

6) General assembly

  1. The General Assembly shall meet once a year, preferably at the end of the year.
  2. The notice of the meeting shall be sent out 90 days before the scheduled meeting by email and shall also be announced on the WFGA website.
  3. The agenda for the General Assembly shall be sent out 45 days before the scheduled meeting by email and shall also be announced on the WFGA website.
  4. Each member of the WFGA is entitled to one vote. Each member of the WFGA nominates its representative. Graduation of votes is determined by the amount of players representing a national federation according to the WFGA world ranking list. For each 20 players the National federation will gain one extra vote.
    (e.g. 20 players will result in 1 + 1 extra = 2 votes).
  5. The General Assembly:
    • Elects the members of the Board.
    • Approves the accounts and also release accounts for external audit of annual transactions.
  6. Decisions shall be taken by simple majority of members present without a quorum being required. Each member has a delegate at the General Assembly, voting by proxy is not permitted.
  7. To speed up amendments to the competitions rules, decisions will be taken by a simple majority of The Board.

7) The board

  1. The Board consists of minimum 5 members elected for a two-year period.
  2. Members are elected in a person capacity by secret ballot and by a majority present at the General Assembly. Voting by proxy is not permitted. Candidates must submit their candidacy to the General Secretary 15 days before the General Assembly.
  3. At the end of their term, members are eligible for re-election. In case of resignation of one of the Board members, The Board can co-opt a new temporary member for the remaining period of the mandate becoming vacant.
  4. The Board shall appoint its President, Vice-president, Treasurer and General Secretary. The Board members shall exercise their function on a voluntary basis.
    • The Board shall convene the General Assembly.
    • The Board shall be responsible for the management of the WFGA and may delegate any power and task to its members if deemed appropriate.
    • The President has all powers to represent and commit the WFGA in relation to third parties.
    • The Board can adopt its Governance Guidelines.
    • The Board shall meet when convened by its President, or at least every second month. The meetings can be video conferences.
    • If necessary, Board decisions shall be taken by a majority of the members present. If necessary, the President vote shall count double.
  5. The Board decides on any exclusion of members.
  6. The Board determines the general policy of the WFGA.
  7. The Board decides on modifications of the rules governing the WFGA competitions.

8) Competition rules

  1. Competition Rules shall be drawn up by the Board. Such rules shall govern all competitions to come.

9) Financial provisions

  1. The WFGA finances are made up of tournament fees, potential sponsorships and returns on financial investments. The Treasurer shall present an annual report and budget for the following financial year to the General Assembly for approval. The Financial year is the calendar year.

10) Amendments of the statutes

  1. The statutes may be amended by the General Assembly. Amendments must be entered on the agenda of the General Assembly, which shall decide by a 2/3 majority of the members present.

11) Dissolution

  1. The dissolution of the WFGA may be decided by the General Assembly with at least 2/3 of the votes present. Any assets remaining after liquidation shall be assigned to sports purposes.
